1. การยอมรับข้อกำหนด
ข้อกำหนดนี้เป็นข้อตกลงระหว่างคุณ (“ผู้ใช้บริการ” หรือ “ลูกค้า”) กับ
บริษัท คอมเทค โซลูชั่น ซิสเต็ม จำกัด (ทะเบียนนิติบุคคลเลขที่ 0105555122241)
ผู้ให้บริการภายใต้ชื่อ NEO-S (“เรา”)
การใช้เว็บไซต์ neos-css.com หรือการเริ่มใช้บริการของเรา ถือว่าคุณได้อ่านและยอมรับข้อกำหนดฉบับนี้
รวมถึง นโยบายความเป็นส่วนตัว ซึ่งถือเป็นส่วนหนึ่งของข้อตกลงนี้
2. บริการที่เราให้
เราให้บริการระบบผู้ช่วย AI สำหรับธุรกิจ ซึ่งอาจรวมถึงบริการต่อไปนี้ตามแพ็กเกจที่คุณเลือก
- ระบบ AI ตอบข้อความลูกค้าบนช่องทางแชทที่รองรับ
- การสร้างและติดตามคำสั่งซื้อจากบทสนทนา
- การเก็บข้อมูลผู้ติดต่อและการสรุปยอดให้เจ้าของร้าน
- การตั้งค่าระบบเริ่มต้นและการนำเข้าข้อมูลสินค้าตามจำนวนที่ระบุในแพ็กเกจ
- บริการพัฒนาระบบ เว็บไซต์ หรือการอบรม ตามที่ตกลงเป็นรายกรณี
ขอบเขตงาน ราคา และสิ่งที่รวมอยู่ในแต่ละแพ็กเกจ เป็นไปตามที่ระบุใน
หน้าแพ็กเกจ หรือใบเสนอราคาที่ออกให้คุณเป็นรายกรณี ซึ่งถือเป็นส่วนหนึ่งของข้อตกลงนี้
3. บัญชีผู้ใช้และการเชื่อมต่อช่องทาง
- คุณต้องให้ข้อมูลที่ถูกต้องและเป็นปัจจุบัน และรับผิดชอบในการรักษาความปลอดภัยของบัญชีที่ใช้เข้าระบบ
- การเชื่อมต่อช่องทางแชท (เช่น Facebook Page, Instagram, LINE Official Account)
ต้องดำเนินการโดยผู้มีอำนาจของช่องทางนั้น ผ่านขั้นตอนการให้สิทธิ์อย่างเป็นทางการของแต่ละแพลตฟอร์ม
- เราไม่ขอและไม่จัดเก็บรหัสผ่านบัญชีแพลตฟอร์มของคุณ
- คุณสามารถเพิกถอนสิทธิ์การเชื่อมต่อได้ตลอดเวลาจากการตั้งค่าของแพลตฟอร์มนั้น ๆ
ข้อจำกัดที่คุณควรทราบก่อนซื้อ — ความสามารถในการเชื่อมต่อแต่ละช่องทางขึ้นอยู่กับเงื่อนไข
ของเจ้าของแพลตฟอร์ม (Meta, LINE) ซึ่งอาจเปลี่ยนแปลงได้และอยู่นอกเหนือการควบคุมของเรา
บางบัญชีอาจไม่ผ่านเกณฑ์ของแพลตฟอร์ม เราตรวจสอบให้ก่อนตัดสินใจซื้อได้ และถ้าเชื่อมไม่ได้เราจะแจ้งตรง ๆ
4. ค่าบริการและการชำระเงิน
- ค่าบริการเป็นไปตามแพ็กเกจหรือใบเสนอราคาที่ตกลงกัน ราคายังไม่รวมภาษีมูลค่าเพิ่ม เว้นแต่ระบุไว้เป็นอย่างอื่น
- ค่าเปิดระบบเป็นการชำระครั้งเดียวเมื่อเริ่มงาน และค่าเช่าระบบชำระเป็นรายเดือน
- ค่าพลังประมวลผล AI คิดตามการใช้งานจริง ไม่ใช่แบบเหมาจ่าย
เดือนที่มีการใช้งานน้อย ค่าใช้จ่ายส่วนนี้จะลดลงตามจริง คุณสามารถตั้งเพดานการใช้งานเพื่อควบคุมค่าใช้จ่ายได้
- เราจะแจ้งให้ทราบล่วงหน้าตามสมควรก่อนมีการปรับราคาที่มีผลกับคุณ
- หากค้างชำระเกินกำหนด เราอาจระงับการให้บริการชั่วคราวหลังจากแจ้งเตือนแล้ว
5. หน้าที่และความรับผิดชอบของคุณ
- ตรวจสอบความถูกต้องของข้อมูลสินค้า ราคา เงื่อนไขการจัดส่ง และข้อความที่ใช้สอนระบบ
- ดูแลให้การใช้งานเป็นไปตามกฎหมายไทยและนโยบายของแพลตฟอร์มที่เชื่อมต่อ
- ตรวจสอบคำสั่งซื้อและการชำระเงินก่อนจัดส่งสินค้าจริง
- เป็นผู้รับผิดชอบต่อข้อมูลส่วนบุคคลของลูกค้าปลายทางของคุณ ในฐานะผู้ควบคุมข้อมูล
6. ข้อห้ามในการใช้บริการ
คุณตกลงว่าจะไม่ใช้บริการของเราเพื่อ
- กระทำการที่ผิดกฎหมาย ฉ้อโกง หรือละเมิดสิทธิของผู้อื่น
- ส่งข้อความรบกวน สแปม หรือข้อความที่ฝ่าฝืนนโยบายของแพลตฟอร์ม
- จำหน่ายสินค้าหรือบริการที่ผิดกฎหมายหรือถูกจำกัดโดยแพลตฟอร์ม
- พยายามเจาะระบบ ทำวิศวกรรมย้อนกลับ หรือทำให้ระบบทำงานผิดปกติ
- นำระบบไปให้บริการต่อแก่บุคคลภายนอกโดยไม่ได้รับความยินยอมเป็นลายลักษณ์อักษรจากเรา
เราสงวนสิทธิ์ระงับบริการทันทีหากพบการใช้งานที่ฝ่าฝืนข้อนี้อย่างร้ายแรง
7. ทรัพย์สินทางปัญญา
- ระบบ ซอร์สโค้ด ส่วนติดต่อผู้ใช้ และเอกสารที่เราพัฒนาขึ้น เป็นทรัพย์สินของเรา
คุณได้รับสิทธิ์ใช้งานแบบไม่ผูกขาดและโอนสิทธิ์ต่อไม่ได้ ตลอดระยะเวลาที่ใช้บริการ
- ข้อมูลธุรกิจ รูปภาพ ข้อความสินค้า และข้อมูลลูกค้าที่คุณนำเข้ามา ยังคงเป็นของคุณ
คุณให้สิทธิ์เราใช้เท่าที่จำเป็นเพื่อให้บริการแก่คุณเท่านั้น
- เมื่อสิ้นสุดบริการ คุณขอรับข้อมูลของคุณคืนในรูปแบบไฟล์มาตรฐานได้
8. ข้อจำกัดความรับผิด
เราไม่รับประกันผลลัพธ์ทางธุรกิจ — ระบบเป็นเครื่องมือช่วยงาน
ผลลัพธ์ด้านยอดขาย จำนวนลูกค้า หรือรายได้ ขึ้นอยู่กับปัจจัยหลายอย่างที่อยู่นอกเหนือการควบคุมของเรา
เราไม่รับประกันว่าคำตอบของ AI จะถูกต้องสมบูรณ์ทุกครั้ง
คุณควรตรวจสอบคำสั่งซื้อ ราคา และการชำระเงินก่อนดำเนินการจริงเสมอ
- เราไม่รับผิดชอบต่อความเสียหายที่เกิดจากเหตุที่อยู่นอกเหนือการควบคุม เช่น
แพลตฟอร์มบุคคลที่สามหยุดให้บริการหรือเปลี่ยนนโยบาย ระบบอินเทอร์เน็ตขัดข้อง หรือเหตุสุดวิสัย
- ความรับผิดรวมของเราต่อคุณในทุกกรณี จะไม่เกินจำนวนค่าบริการที่คุณชำระจริงให้เราใน
3 เดือนล่าสุด ก่อนเกิดเหตุ
- ข้อจำกัดนี้ไม่ใช้กับความรับผิดที่กฎหมายไทยไม่อนุญาตให้จำกัด
9. การยกเลิกบริการ
- บริการเช่าใช้รายเดือน ไม่มีสัญญาผูกมัดระยะยาว คุณแจ้งยกเลิกได้โดยแจ้งล่วงหน้าอย่างน้อย 30 วัน
- ค่าบริการที่ชำระแล้วสำหรับรอบที่ใช้งานไปแล้วจะไม่มีการคืนเงิน เว้นแต่ตกลงเป็นอย่างอื่นเป็นลายลักษณ์อักษร
- เมื่อยุติบริการ เราจะลบข้อมูลของคุณตามกรอบเวลาใน นโยบายความเป็นส่วนตัว
หรือเร็วกว่านั้นหากคุณร้องขอผ่าน หน้าขอลบข้อมูล
- เราอาจยุติการให้บริการหากคุณฝ่าฝืนข้อกำหนดอย่างร้ายแรง หรือมีเหตุตามกฎหมาย
10. การเปลี่ยนแปลงข้อกำหนด
เราอาจปรับปรุงข้อกำหนดนี้เป็นครั้งคราว เมื่อมีการเปลี่ยนแปลงในสาระสำคัญที่กระทบสิทธิของคุณ
เราจะแจ้งให้ทราบล่วงหน้าตามสมควร การใช้บริการต่อหลังจากนั้นถือเป็นการยอมรับข้อกำหนดฉบับใหม่
11. กฎหมายที่ใช้บังคับ
ข้อกำหนดนี้อยู่ภายใต้กฎหมายไทย หากมีข้อพิพาท คู่สัญญาจะพยายามเจรจากันโดยสุจริตก่อน
หากตกลงกันไม่ได้ ให้ศาลไทยที่มีเขตอำนาจเป็นผู้พิจารณา

1. Acceptance of terms
These terms form an agreement between you (“Customer”) and
Comtech Solution System Co., Ltd. (company registration no. 0105555122241),
operating under the name NEO-S (“we”, “us”).
By using neos-css.com or starting our service you confirm that you have read and accept these terms,
together with our Privacy Policy, which forms part of this agreement.
2. The service
We provide AI assistant systems for businesses, which may include the following depending on your package:
- AI-assisted replies to customer messages on supported chat channels
- Order creation and follow-up derived from conversations
- Contact capture and sales summaries for the merchant
- Initial system setup and product data import up to the quantity stated in the package
- Custom development, website build or training, where separately agreed
Scope, pricing and package inclusions are as stated on our pricing page
or in the quotation issued to you, which forms part of this agreement.
3. Accounts and channel connections
- You must provide accurate, current information and are responsible for keeping your login credentials secure.
- Connecting a chat channel (Facebook Page, Instagram, LINE Official Account) must be performed by an
authorised representative of that channel, through each platform's official authorisation flow.
- We never request or store passwords for your platform accounts.
- You may revoke the connection at any time from that platform's own settings.
Limitation you should know before purchasing — the ability to connect each channel depends on
the platform owner's conditions (Meta, LINE), which may change and are outside our control.
Some accounts may not meet a platform's eligibility criteria.
We will check your accounts before you commit, and tell you plainly if a channel cannot be connected.
4. Fees and payment
- Fees follow the agreed package or quotation. Prices exclude VAT unless stated otherwise.
- The setup fee is a one-time charge at the start; the subscription fee is billed monthly.
- AI processing is charged based on actual usage, not a flat rate.
In lower-volume months this portion is correspondingly lower. Usage caps can be set to control spend.
- We will give reasonable advance notice before any price change that affects you.
- If payment is overdue we may suspend the service after notifying you.
5. Your responsibilities
- Verify the accuracy of product data, prices, delivery terms and any content used to train the system.
- Ensure your use complies with Thai law and the policies of every connected platform.
- Verify orders and payments before fulfilling them.
- Act as the data controller for your own end customers' personal data.
6. Prohibited use
You agree not to use the service to:
- Engage in unlawful or fraudulent activity, or infringe the rights of others
- Send harassing or spam messages, or messages that violate platform policies
- Sell goods or services that are illegal or restricted by a platform
- Attempt to breach, reverse engineer or disrupt the system
- Resell or provide the system to third parties without our prior written consent
We reserve the right to suspend the service immediately in the event of a serious breach of this section.
7. Intellectual property
- The system, source code, user interface and documentation we develop remain our property.
You receive a non-exclusive, non-transferable right to use them for the duration of the service.
- Your business data, images, product content and customer data remain yours.
You grant us only the rights necessary to deliver the service to you.
- On termination you may request an export of your data in a standard file format.
8. Limitation of liability
We do not guarantee business outcomes. The system is a tool;
results in sales, customer volume or revenue depend on many factors outside our control.
We do not warrant that AI-generated replies will be complete or accurate in every case.
You should always verify orders, prices and payments before acting on them.
- We are not liable for damage arising from causes beyond our control, including a third-party platform
discontinuing service or changing its policies, network outages, or force majeure.
- Our aggregate liability to you in any circumstance is limited to the fees you actually paid us in the
three (3) months preceding the event.
- These limits do not apply to liability that Thai law does not permit to be limited.
9. Termination
- Monthly subscriptions have no long-term lock-in. You may cancel with at least 30 days' notice.
- Fees already paid for an elapsed billing period are non-refundable unless agreed otherwise in writing.
- On termination we delete your data within the timeframes set out in our Privacy Policy,
or sooner if you request it via the data deletion page.
- We may terminate the service for serious breach of these terms or where required by law.
10. Changes to these terms
We may update these terms from time to time. Where a material change affects your rights we will give
reasonable advance notice. Continued use after that constitutes acceptance of the updated terms.
11. Governing law
These terms are governed by Thai law. In the event of a dispute the parties will first attempt to resolve it
in good faith; failing that, the competent Thai courts shall have jurisdiction.
